Director KYC filing is a process where individuals holding a Director Identification Number (DIN) are required to provide updated information and KYC details to the Registrar of Companies (ROC) at the beginning of every financial year. This helps the Ministry of Corporate Affairs maintain upto-date records of the directors.

For Financial year 2019-20 onwards - Every Director who has been allotted DIN on or before the end of the financial year, and whose DIN status is ‘Approved’, would be mandatorily required to file form DIR-3 KYC before 30th September of the immediately next financial year

After expiry of the respective due dates, system will mark all non-compliant DINs against which DIR-3 KYC form has not been filed as ‘Deactivated due to non-filing of DIR-3 KYC’

WHO NEEDS TO FILE THE DIRECTOR KYC

It is mandatory for every person who has been allotted a Director Identification Number (DIN) on or before the end of the last financial year, i.e. 31st March, to file the KYC of the director in the prescribed format called the DIR-3 (KYC) Form to the Registrar of Companies (ROC). This means every person with a DIN issued on or before 31st March, is required to file the Form DIN KYC starting 1st April, and must file their KYC before 30th September in every financial year.

Even if a person has resigned as a director or doesn’t hold any directorship or is not a designated partner of any LLP, they still need to file the Directors KYC. The only criterion for applicability of filing the Director KYC is the possession of a DIN.

It is important to note that if a person has been allotted a DIN, the same cannot be surrendered in case it has been previously used in any directorship or as a designated partner of an LLP. The DIN can only be surrendered if the DIN allotted is never used to become a director in a company or designated partner of an LLP.

FORMS FOR THE DIRECTOR'S KYC

There are two ways to file Directors’ KYC on the MCA portal www.mca.gov.in web-based (FORM DIR 3 KYC WEB) and form-based (FORM DIR-3 KYC). Here are the scenarios and the relevant methods for filing Directors’ KYC.

  • First-Time Filing of Director KYC: The first-time KYC filling is done via a PDF-based Form DIR 3 KYC, wherein the Self-attested proof of Identity and Address is also filed along with OTP Verification of the director’s mobile and email
  • Subsequent Year Director KYC Filing: After the first filing of director KYC in the previous year, a director can use a simplified method of confirming the director’s details through a web-based filing of DIN KYC i.e. FORM DIR 3 KYC WEB. The web-based KYC filing can be done by logging in at the MCA portal. The web-based KYC Filing is a simplified filing with the help of email and mobile OTP Confirmation
  • When the particulars of DIN have changed:In case there is any change in the particulars of the director, such as the Mobile Number, Email, Address, Citizenship, then such director cannot file the web-based director KYC. The method would be to get the details of the directors corrected by filing an amendment application in DIR-6 and thereafter file the DIR-3(KYC) form.

DOCUMENTS NEEDED FOR DIRECTOR KYC FILING

  • Passport Size Photograph
  • Self-attested address proof such as Aadhar, if director does not have Aadhar thenPassport, Driving License, Voter ID License, Electricity bill or telephon bill

PROCESS OF FILING DIRECTOR'S KYC FILING

  • Check DIN Status To do this, please visit the MCA website at www.mca.gov.in and navigate to the DIN section under the MCA services tab.
  • Accessing the correct form You have two options for filing the Director’s KYC: the e-form (DIR-3 KYC form) or the web-based form. The e-form should be used for new filings or updates to existing KYC details. The pre-filled web-based form is for the subsequent filing of the DIN KYC. To initiate the process, visit the MCA website and select the appropriate form.
  • Fill KYC Form & OTP Verification To complete the KYC process for a director, fill in the correct form with their name, address, nationality, gender, date of birth, PAN, ID, Aadhar, DIN, mobile and email. Some fields may already be filled out in web-based cases if the form is web-based, requiring only the input of the DIN number. Click “Send OTP” to receive verification codes on your mobile and email, which you must enter accurately to complete the process. Kindly note without OTP verification, form will not be saved.
  • Certification & Filing of DIR-3 KYC To complete the DIR-3 KYC form, digitally sign and certify it using a Digital Signature Certificate. A Chartered Accountant, Company Secretary, or Cost Management Accountant must also certify the form. Submit it on the MCA website.
